Decree 296/2026/ND-CP on amending Decree 168/2025 on enterprise registration issued

LuatVietnam has updated Decree No. 296/2026/ND-CP, which amends and supplements Decree No. 168/2025/ND-CP on enterprise registration. The Decree was promulgated and took effect on July 23, 2026.

Accordingly, Decree 296/2026/ND-CP adds Clauses 7 and 8 after Clause 6, Article 4 of Decree 168/2025/ND-CP regarding the principles for handling enterprise registration procedures, as follows:

The provincial-level business registration authority shall obtain and use information already available in the National Enterprise Registration Database and other national and specialized databases, and shall not require individuals or organizations carrying out enterprise registration procedures to submit copies of the following documents included in the enterprise registration dossier:
  • Enterprise Registration Certificate;
  • Cooperative Registration Certificate;
  • Household Business Registration Certificate;
  • Tax Registration Certificate;
  • Investment Registration Certificate or a written approval issued by the investment registration authority regarding capital contribution, share purchase, or capital contribution purchase by foreign investors or foreign-invested economic organizations;
  • Establishment and Operation License or a copy of the approval document issued by the State Securities Commission;
  • Legally effective court judgments or decisions;
  • Other documents.
  • If the required information cannot be obtained or the extracted information is incomplete or inaccurate, the provincial-level business registration authority may request the individual or organization to provide copies of the above documents to process the enterprise registration procedures.
Decree 296/2026/ND-CP
In such cases, the individual or organization must update or correct the relevant information in the respective databases. The use of information already available in those databases as a substitute for enterprise registration dossier components shall be implemented based on the data connection and information-sharing mechanism announced on the National Enterprise Registration Portal.

For single-member limited liability companies wholly owned by the State, copies or originals of the following documents in the enterprise registration dossier may be replaced with written documents issued by competent organizations or individuals in accordance with the laws on the management and investment of State capital in enterprises and other relevant laws:

  • The resolution or decision of the company owner;
  • The document appointing the owner's authorized representative where the owner is an organization.

Decree No. 296/2026/ND-CP takes effect on July 23, 2026.
