Detailed dossier for partnerships

Partnerships are a type of enterprise in Vietnam that many people choose to establish when the business lines are required for this type. LuatVietnam shall have detailed guidance in this post.

1. What are the conditions for establishing partnerships?

In accordance with the Article 177 of the Enterprise Law 2020, A partnership is an enterprise in which:

- There are at least 2 members being co-owners who jointly conduct business under one common name;

- General partners must be individuals who are liable for the obligations of the partnership with all of their assets; Limited partners may be organizations or individuals who are only liable for the debts of the partnership within the limit of the capital amounts they have committed to contribute to the partnership;

- Individuals involved in establishing partners are not in the cases who are not allowed to establish enterprises.

2. What does the dossier of partnership include?

For enterprise registration dossier for partnerships, Article 22, the Decree No. 01/2021/ND-CP include:

- A written request for business enterprise registration

- The company charter;

- List of members;

- Legal papers (copies): Unexpired citizen identity card, people’s identity card or Vietnamese passport of members;

(Unexpired foreign passport or foreign passport substitute for members who are foreigners).

- The investment registration certificate, for enterprises established by foreign investors or foreign-invested economic organizations.

3. Where are the dossiers of partnership submitted?

Currently, individuals or organizations can submit the registration of establishment for partnership directly or by post to the business registration division of the locality where the enterprise intends to base its head office or directly at the National Business Registration Portal. In particulars:

- Direct registration or via post service: Submit the registration dossiers at the business registration division of the locality where the enterprise bases its head office or via postal service.

- To sign to authenticate the dossier for enterprise registration:  The dossier submitter shall declare information, upload e-documents, sign to authenticate the dossier for enterprise registration via the electronic communication network and pay enterprise registration charges and fees according to the set process on the National Business Registration Portal

4. What are the fees and charges of the partnership?

Current charges of partnership are as follows:

- Charges for business registration: VND 100,000 (The Circular 47/2019/TT-BTC)

- Charges for public content of business registration: VND 100,000

- Charges for declaring and paying the licenses fees:

VND 2 million/year for the charter capital under VND 10 billion.

VND 3 million/year for the charter capital over VND 10 billion.
